SRD Legal Group covers a broad range of legal disciplines, including corporate and regulatory matters and the following corporate legal services:

● Technology Law, Licensing & Contract Review Programs
The firm reviews and negotiates a broad range of vendor agreements that includes technology, licensing, outsourcing, vendor, market data agreements and other commercial contracts that would traditionally be reviewed and negotiated by an in-house legal department. We are able to provide these reviews on a fully outsourced basis or in collaboration with your legal team. In order to efficiently and accurately provide a substantive review of these contracts, we develop a customized Playbook based on our client’s existing practices combined with our industry knowledge of best market practices.

● Outsourced NDA (Nondisclosure/Confidentiality Agreement) Programs
The firm manages NDA workflows in a comprehensive fashion by providing an initial redline and subsequent counterparty negotiations on a same day turnaround basis. Some clients require a shorter turnaround and the firm is able to customize programs to ensure that NDAs are efficiently managed without disrupting the more sophisticated work covered by an in-house legal department.

● Marketing Compliance
The firm’s attorneys and compliance professionals conduct legal review of marketing materials and sales and training policies to ensure adherence to FTC, SEC and FINRA
requirements, bank regulations, state law, GIPS standards, MSRB rules, privacy rules and trademark law. Our program includes the substantive review of all marketing materials including all client-facing materials such as pitches, presentations, proposals, RFPs, due diligence questionnaires, market overviews, white papers, client updates, fact sheets, conference materials and brochures to ensure adherence to SEC and FINRA requirements.

● Legal Process Management
The firm offers creative customized solutions to manage legal workflows as an alternative for in-house legal departments seeking to unbundle certain pieces of legal work. Our firm provides efficient, immediate turnarounds while adhering to the highest professional standards. The firm practices effective process management which is the hallmark of our work. We support our clients by strategizing, managing and executing plans to absorb high volume workflows on a long-term sustainable basis.

● General Commercial Transactions
For companies that have an in-house legal department, we serve as an extension of their legal team, ready to take on assignments, large or small. The firm’s corporate attorneys draft and negotiate all types of corporate agreements, including confidentiality
agreements, consulting, services and development contracts, hardware and software agreements, technology licenses, joint venture and alliance agreements, copyright and trademark licenses, and other business contracts.

● Private Equity and Asset Management
The firm provides representation in the services most often requested by private equity and other asset management firms including engagement letters, investment management agreements, fund consents, fund transfers, subscription agreements, side letters, and partnership agreements.

● Real Estate Transactions
The firm offers a full range of corporate real estate services including commercial and retail leases, financing contracts, loan documentation, preparation and negotiation, property management, landlord and tenant representation, shopping center leasing, restaurant franchise agreements and construction contracts.

SRD Legal Group's clients include a leading global investment bank, a global insurance company, private equity and other asset managers and a large real estate developer.
