Attorneys at the firm have advised U.S. and international clients in the areas of project finance, international finance and mergers and acquisitions, with a particular emphasis in Africa, Europe, Mexico and the United States.
Our practice in the United States focuses on equity investments in various corporate sectors. In Europe and Africa, the work of our attorneys has been centered on the financing and development of energy projects as well as acquisitions and mezzanine financings in emerging markets.
Attorneys at the firm have represented multilateral and bilateral agencies, international commercial bank lenders, and project developers in international and domestic project financings and equity transactions. In addition, attorneys have advised multi-billion dollar investment firms and institutional investors making private investments in emerging market economies, particularly in Africa, Asia and Eastern Europe, concentrating on representing principals and stakeholders in the formation, structuring and operation of domestic and international investment funds. Our attorneys in many cases are multi-lingual (including Japanese, French, Vietnamese, Italian and Spanish).
Banking and Institutional Finance. Love and Long, L.L.P. has represented the United States Treasury, commercial banks, insurance companies, and other prestigious institutional lenders, as well as borrowers, in a wide range of financing transactions. These transactions include secured and unsecured syndicated loan facilities, letters of credit, guarantees and other credit enhancement transactions, note purchase agreements, project financings, subscription and other asset-based financing, leveraged buyouts and other acquisition financing arrangements, recourse and non-recourse financings, and institutional equity investments.
Attorneys at the firm also have extensive experience providing representation in corporate trust, aircraft and ship financing, offerings of convertible securities, warrants and partnership interests, structuring commercial mortgage backed securities transactions, and drafting commercial loans for a wide variety of lenders. The firm regularly represents lenders and borrowers in finance transactions and therefore has a unique understanding of the requirements of both.
Real Estate and Land Use. In our real estate practice, we represent developers, public agencies, lenders, insurance companies, community development corporations, cooperative associations, lenders, pension funds and other entities in varied real estate projects. We have served as redevelopment counsel, planning board, zoning board counsel and special condemnation counsel to several public entities. We handle transactions involving the purchase, sale, lease, sale – leaseback, construction, traditional and tax credit financing, development, management and operation of residential, multifamily, nursing home, congregate care and industrial projects, schools, hotels, malls, retail and entertainment complexes, cold storage and distribution facilities, supermarkets, restaurants, movie theaters, tax credit housing complexes and other real estate projects, as well as real estate litigation, including specific performance, condemnation, eminent domain, foreclosures and restructurings.
The firm has extensive experience in the practice area of land use. Specifically, the firm has represented developers in their land use applications before municipal zoning boards of adjustment and planning boards. The firm attorneys work closely with project architects and engineers in order to provide a complete application and to develop an effective presentation for the hearing. The firm has extensive experience in representing developers at all levels of an appeal in the event of a rejection. Also, the firm has severed as redevelopment council to several municipalities and has represented municipal zoning boards of adjustment along with planning boards.

Municipal and Public Agencies Law. Love and Long, L.L.P. has extensive experience representing public sector clients and handling the multifaceted issues involved in federal, state and municipal government. We have served as counsel to the U.S. Department of Treasury pursuant to which we performed closing services for the Treasury under its Small Business Lending Program (SBLF Program). Under the SBLF Program, we negotiated and closed over 170 preferred stock, subordinated debt and equity equivalent securities transactions totaling over $2.2 billion in a period of four months. Subsequently, the U.S. Department of Treasury awarded the firm a commendation for outstanding legal services performed under the SBLF Program at a ceremony held at Treasury’s Washington, D.C. headquarters. We have also served as counsel to U.S. Department of Agriculture pursuant to which the firm assists the USDA in its acquisition of permanent easements with rights of access that allow the USDA Natural Resources Conservation Service to protect, restore, maintain, manage and monitor wetlands. In addition, we have served as chief corporation counsel to several municipal corporations and have represented several local redevelopment entities, school board, planning boards and zoning boards.
During our representation of public sector clients, we have dealt with the numerous issues and transactions, including the issuance of securities, bonds and other instruments, acquisition and disposition of property, public agency governance, open public meetings, government employment issues, tort claims against public agencies, zoning and law use issues, public bids and contracts, ordinances and resolutions adoption, eminent domain and condemnation, relocation, economic development issues, school construction, property tax assessment and appeals, administrative hearings and civil proceedings. We use our depth of knowledge in public sector law to also assist businesses and entities that do business with public agencies.

Practice. Lisa D. Love is an attorney concentrating in project development, project finance, corporate finance, secured transactions, and real estate. Ms. Love has experience representing developers and lenders in project development and project financing transactions, including hotels, shopping centers, movie theaters, supermarkets, mixed use and commercial establishments located in the United States, Mexico, Europe, Turkey, the Middle East and Asia ranging from $2 million to $500 million. Ms. Love has also represented governmental entities in the formation and operation of public utilities authorities. In addition, Ms. Love represents lenders in corporate finance transactions secured by equity securities and commitments, real estate and specific assets, including vehicles, containers, aircrafts, ships, receivables, personal property and intellectual property, and credit enhancements including warrants and letters of credit.
Ms. Love has served as counsel to several public and private development entities, financial institutions and a Fortune 100 company. Recently, Ms. Love served as lead counsel for the Firm in its representation of the United States Department of Treasury in the negotiation and closing of over $2 billion of preferred stock and equity equivalent securities invested in financial institution throughout the United States in the Small Business Lending Program.
Prior Relevant Experience. Ms. Love was employed by a Madison Avenue, New York law firm employing 250+ attorneys, formerly known as Rosenman & Colin, where she gained extensive experience for over eleven years in the Corporate Department with an emphasis project development, corporate finance, syndicated loan facilities, equity financing, bond finance, DIP financing, mergers and acquisitions and acquisition financing.
Ms. Love has represented the Resolution Trust Company in real estate roll-up and syndication transactions. In addition, she has served as chief legal counsel to several public entities and has extensive experience managing both internal and outside counsel. Ms. Love is a former Adjunct Professor in the Legal Studies Department of Montclair State University.
