$883 Million Acquisition of City National Bank of Florida. ARHMF is lead counsel for Banco de Credito e Inversiones, S.A. in connection with its acquisition of City National Bank of Florida, one of the oldest and largest community banks in the State of Florida.
Acquisition of $116 Million Anchor Commercial Bank. ARHMF is counsel for a foreign investor acquiring a majority interest in $116 Million Anchor Commercial Bank.
$325 Million Syndicated Loan. ARHMF represented a multinational financial institution, as borrower, in the negotiation and closing of a $325 Million syndicated loan facility extended to it by various U.S. and foreign financial institutions.
Sale of $79 Million Construction Loan. ARHMF represented a client with the sale of a $79 Million Construction Loan to a large domestic bank.
$30 Million Participation in Project Finance Project. ARHMF represented a domestic community bank in purchasing a $30 Million participation in a Florida project finance loan.
$35 Million Account Receivables Purchase. ARHMF represented a regional domestic bank in entering into an account receivables purchase agreement with a foreign seller for the purchase of $35 Million in third-party account receivables.
$15 Million Pre-Export EXIM Bank Loan. ARHMF represented a regional domestic bank in its role as documentation agent in connection with a $15 Million pre-export EXIM bank loan.
$100 Million Financing of Hotel Projects in Mexico. ARHMF represented a domestic office of a foreign financial institution in the $100 Million financing of several hotel projects located in Mexico.
REAL ESTATE MATTERS:
Acquisition of Multifamily Real Estate. Represented real estate investment firm in connection with the acquisition of multifamily properties throughout the United States with an aggregate value of over $700,000,000.
$123 Million Ritz-Carlton Key Biscayne Financing. Represented Marriott International Capital Corporation in connection with $123,000,000 permanent financing for the Ritz Carlton Hotel, Key Biscayne (Miami), Florida.
$73 Million Multifamily Property Acquisition. Represented Pensam Capital, a Miami-Based real estate investment firm, in a $73MM acquisition of six multifamily properties located in central/north Florida, South Carolina and Iowa totaling 1,570 apartments.
$175 Million Ritz-Carlton Group Investment. Represented investor in $175,000,000 capitalization of The Gencom Group, one of the largest owners of Ritz-Carlton flagged hotels, and undertaking all property diligence and renegotiation with senior and mezzanine lenders (including Lehman Brothers) for several Ritz-Carlton hotels in Florida and around the United States.
$250 Million Debt/Equity Investment. Represented Pensam Capital, a Miami-based real estate company, in connection with debt and equity investments totaling over $250,000,000 from Wafra Capital Partners LP.
LITIGATION AND ARBITRATION MATTERS:
Complex Project Dispute. Represented financial institution in defending a complex dispute with a developer and contractor concerning the foreclosure of an incomplete project and allegations of lender liability.
Complex Information Technology Litigation. Represented large multinational company in complex information technology litigation, including in a successful evidentiary hearing regarding complex e-discovery disputes.
Trademark Infringement. In a trademark infringement dispute involving an infringing webpage, successfully obtained a lock down and denial of access of the infringing webpage after service of a cease and desist letter on webpage hosting provider and infringing party.
Commercial Real Estate Foreclosures. Represented several banks in commercial foreclosure matters.
AAA Arbitration. Represented a partner in a breach of partnership agreement dispute before the American Arbitration Association. Following a final hearing, the Panel awarded a monetary judgment of half a million dollars, including punitive damages, which was upheld during confirmation proceedings in the circuit court.
Federal Contractor Dispute. Represented U.S. Department of State contractor in connection with disputes before the Civilian Board of Contract Appeals under the Contract Disputes Act.
